Warranties and Disclaimers

Our total liability for any claims arising from these Terms or our services shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Cedarpath AI Solutions, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including:

• Non-payment of fees
• Fraudulent, illegal, or harmful activities

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation continues for three years after the termination of services unless otherwise specified in a separate agreement.

2. Mediation: If negotiations fail, disputes will be submitted to mediation

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cedarpath AI Solutions operates, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Cedarpath AI Solutions regarding the use of our services and supersede all prior agreements and understandings.
